DISTRICT OF COLUMBIA CONFERENCE: CONSTITUTION

American Association of University Professors

 

Article 1: Name, Objectives, and Membership

1. The name of this organization shall be the District of Columbia Conference of the American Association of University Professors. It shall be a not-for-profit Conference of the American Association of University Professors, a tax-exempt organization under the provisions of Section 501 © (6) of the Internal Revenue Code.

2. Its objectives shall be to further cooperation among AAUP chapters in Washington, D. C., and to promote the interests of higher education and research, and in general to increase the usefulness of and to advance the standards, ideals and welfare of the profession within the District of Columbia.

  1. Membership in the Conference, as in the chapters, shall be open to all Washington, D.C., members of the national Association.

 

Article II: Officers

1. The officers of the District of Columbia Conference (who collectively constitute the Executive Council of the Conference) shall be a President, a Vice-President, a Secretary, a Treasurer, Newspaper Editor (ex-officio), and two members elected at large. In even or odd years, a President, Secretary, and one at-large member shall be elected. In odd or even years, a Vice-President, treasurer and one at-large member shall be elected. The Newspaper Editor shall be appointed by the Executive Council.

2. The election of officers to fill vacancies on the Executive Council shall be by a majority of eligible voters present and voting at the Annual Meeting from a slate submitted by the Nominating Committee or on nomination from the floor. The Nominating Committee shall be appointed by the President approximately sixty (60) days prior to the Annual Meeting. A strong preference shall be exercised so that, in general, not more than two (2) members of any one chapter will serve as officers at the same time. The Executive Council shall be empowered to fill interim vacancies of any elective offices.

3. The term of office of members of the Executive council shall be two (2) years. All members of the Executive Council shall be eligible for election at the pleasure of the Conference.

4. The duties of these officers shall be those usually associated with their several offices. The Executive Council shall conduct the business of the Conference between Annual Meetings, recommend policy and action at the Annual Meeting, carry out the purposes and directives of the Conference, and meet as often as necessary to perform its executive functions.

 

Article III: Conference Meetings and Procedures

1. The conference shall meet annually in the spring/fall at such time and place as may be decided upon by the Executive Council. Representatives of four District of Columbia Chapters at the Conference meeting shall constitute a quorum. The Agenda will normally be distributed to the chapters at least three weeks before the meetings.

2. Special Conference meetings may be called by the Executive Council, or upon petition by any four AAUP Chapters in the District of Columbia. A conference meeting requested by such petition shall be held within sixty days from the date of receipt of the petition by the President.

3. All members of the American Association of University Professors, District of Columbia Conference, who are in attendance at a regular Annual or specially called session of the District of Columbia Conference shall be eligible to vote on all matters before the body, subject to the exception in the next paragraph, provided that National dues are current.

4. Upon request of a majority of those chapters present at said annual or special meeting, any resolution before the floor may be voted on by proportional representation with each chapter casting as many votes as it has members whose national dues are current according to the last quarterly roster provided by the national office. For purposes of chapter representation, each AAUP member at an institution of higher education at which there is no chartered AAUP chapter shall be entitled to be a member of a single District of Columbia-wide chapter, called the District of Columbia Chapter.

 

Article IV: Dues

1. Conference dues shall be set by either a majority vote of the members of the District of Columbia Conference voting at an annual Conference meeting; or a majority vote of the members of the District of Columbia Conference Executive Council that is then ratified at the next special or regular Conference meeting.

 

Article V: By-laws

1. By laws may be adopted at the District of Columbia Conference meetings.

 

VI: Amendments

1. Amendments to this Constitution must be proposed by Chapter resolution to the Executive Council at least four weeks before the Conference meeting or by the Executive Council, itself. Proposed amendments must be circulated in the agenda before the District of Columbia Conference meeting. Enactment of an amendment or a new constitution shall require a two-thirds majority of the eligible voters present at the Annual Meeting.

 

VII: Enabling Act

1. This Constitution will be in effect immediately upon adoption by the District of Columbia Conference Executive Council or at the Annual Meeting.
